Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you and WilGlobo Inc. ("we," "us," or "our"), concerning your access to and use of the SmartForm platform. You agree that by accessing the platform, you have read, understood, and agree to be bound by all of these Terms of Service.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Platform Use

2.1 User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the platform and for any activities or actions under your password. You agree not to disclose your password to any third party.

2.2 Subscription and Billing

Certain features of the platform are provided on a subscription basis. You will be billed in advance on a recurring basis, depending on the subscription plan you select. You may cancel your subscription at any time, but no refunds will be provided for any unused portion of the current billing period.

We reserve the right to change our subscription fees at any time, upon reasonable notice. Your continued use of the platform after such notice constitutes your acceptance of the new fees.

3. Intellectual Property

The platform and its original content, features, and functionality are and will remain the exclusive property of WilGlobo Inc. and its licensors. The platform is protected by copyright, trademark, and other laws of both Canada and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of WilGlobo Inc.

4. User Content

You retain all rights to any content you submit, post, or display on or through the platform. By submitting, posting, or displaying content on or through the platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with providing the platform.

You represent and warrant that: (i) the content is yours or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your content on or through the platform does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

5. Prohibited Activities

You may not access or use the platform for any purpose other than that for which we make the platform available. You agree not to:

  • Use the platform in any manner that could disable, overburden, damage, or impair the platform
  • Use any robot, spider, or other automatic device to access the platform
  • Introduce any viruses, trojan horses, worms, or other material which is malicious or technologically harmful
  • Attempt to gain unauthorized access to any portion of the platform
  • Use the platform to collect or harvest any personally identifiable information
  • Use the platform for any illegal or unauthorized purpose
  • Use the platform to advertise or offer to sell goods and services

6. Limitation of Liability

IN NO EVENT WILL WILGLOBO INC., OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Indemnification

You agree to defend, indemnify, and hold harmless WilGlobo Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the platform.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the platform will immediately cease.

9. Governing Law

These Terms shall be governed by and defined following the laws of Canada and the Province of Alberta. WilGlobo Inc. and yourself irrevocably consent that the courts of Alberta shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
